Registered Agent

State law requires a registered agent, a person to whom any official papers can be sent. Some affiliates have been involuntarily dissolved for failure to file annual reports, pay annual taxes, and other compliance irregularities. The purpose of a registered agent is to inform the affiliate of any annual reports or franchise taxes due in their state. The registered agent is also responsible for forwarding all mail received from a government agency, court or attorney.

Using LexisNexis™ as the registered agent will allow affiliates to identify one or more parties who automatically get notices. The Executive Vice President, Pat Babjack, at ADA Headquarters should be identified on the client data form as one of these parties so that if a suit is filed or a document is late, ADA will be automatically notified and could assist in rectifying the matter.

Affiliates who have an executive director, use a management company, or have consistently maintained documents, may choose not to use LexisNexis™ as the registered agent. However, the Executive Vice President at ADA Headquarters should be informed of any notices or documents communicated to a registered agent.
